Section 198 Companies Act 1985
We hereby give notice pursuant to Section 198 of the Companies Act 1985 (the
"Act") that:
1 This notification relates to, and the expression "share capital" used below
means, the ordinary share capital of Eircom Group Plc.
2 The number of shares comprised in the share capital in which we know we were interested (for the purposes of Sections 208 and 209 of the Act) immediately after the time when our obligation to make this notification arose is 133,961,431.
3 Babcock & Brown Global Partners LP, our parent company, disclosed their
interest in all the shares to which this notification relates in their notification to the Company dated 11 October 2005. We are now interested
in these shares as a result of an intra-group transfer.
4 The identities of the registered holders of the shares to which 133,961,431
shares of this notification relates, and the number of shares held by each such holder, are, so far as known to us at the date of this notification,
as follows:
